SECTION 8 OTHER EVENTS
Item 1.01 | Entry into a Material Agreement. |
On December 19, 2018, CBM Bancorp, Inc. (the Company) entered into Indemnification Agreements with each of the directors and executive officers of the Company (collectively, the Indemnitees). The Indemnification Agreements clarify and supplement indemnification provisions already provided by the Companys Articles of Incorporation and Bylaws, the Maryland General Corporation Law, and Federal laws and regulations, and generally provide that the Company shall indemnify the Indemnitees to the fullest extent permitted by applicable law, subject to certain exceptions, against expenses (as defined in the Indemnification Agreements) incurred in connection with their service as a director or executive officer and also provide for rights to advancement of expenses and maintenance of insurance.
The description of the Indemnification Agreements set forth in this Item 1.01 is not complete and is qualified in its entirety by reference to the full text of the form of Indemnification Agreement between the Company and each of the Indemnitees which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
