Item 8.01

Other Events.

On December 17, 2018, Sprint Corporation (“Sprint”) issued, jointly with T-Mobile, Inc. (“T-Mobile”), a press release announcing that they have successfully received clearance from the Committee on Foreign Investment in the United States (“CFIUS”), pursuant to a review under the Foreign Investment and National Security Act of 2007, to proceed with their proposed merger (the “Merger”) pursuant to that certain Business Combination Agreement, dated April 29, 2018 (the “Business Combination Agreement”), by and among T-Mobile, Sprint, SoftBank Group Corp., Deutsche Telekom AG and the other parties thereto.

The closing of the proposed Merger remains subject to other conditions under the Business Combination Agreement, including the receipt of required regulatory approvals.

A copy of the press release announcing the CFIUS clearance is attached as Exhibit 99.1.
