ITEM 1.01.

ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On December 15, 2018, Taxi Medallion Loan Trust III (the “Trust”), an indirect unconsolidated wholly-owned subsidiary of Medallion Financial Corp., (the “Company”) entered into an amendment (the “Amendment”) which amended the Amended and Restated Loan and Security Agreement, dated as of December 12, 2016 (the “Credit Agreement”), by and among the Trust, Autobahn Funding Company LLC and DZ Bank AG Deutsche Zentral-Genossenschaftsbank, Frankfurt am Main. Under the terms of the Amendment, the maturity date of the credit facility was extended to January 15, 2019. The parties to the Credit Agreement are currently in the process of negotiating and drafting an amendment to the Credit Agreement to extend the term of such agreement for a longer period and expect to enter into such amendment on or before January 15, 2019. The restructuring of the facility completed on November 8, 2018 resulted in the deconsolidation of Trust III in the Company’s financial results effective November 8, 2018.
