Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 14, 2018, the Board of Directors of the Federal Home Loan Bank of Topeka (FHLBank) approved amendments to FHLBank’s Bylaws. The primary purpose of the amendments is to conform the Bylaws to the Federal Housing Finance Agency’s (Finance Agency) final rule on Indemnification Payments that became effective on November 5, 2018. The amendments to FHLBank’s Bylaws establish restrictions on indemnification rights and payments arising from administrative proceedings or civil actions initiated by the Finance Agency and prohibit FHLBank from paying the premium for any insurance prohibited by any applicable statute or regulation.

The foregoing description of the amendments to FHLBank’s Bylaws is qualified by reference to the Amended and Restated Bylaws, a copy of which is attached hereto as Exhibit 3.1 and incorporated herein by reference.
