Item 8.01.    Other Events.
As previously announced, on May 22, 2018, Independent Bank Group, Inc. (“Independent”) entered into an Agreement and Plan of Reorganization (the “Agreement”) with Guaranty Bancorp, a Delaware corporation (“Guaranty”), pursuant to which Guaranty would merge with and into the Independent and Independent would continue as the surviving entity (the “Merger”).

On December 17, 2018, Independent issued a press release announcing that it has received all regulatory approvals necessary to complete its merger with Guaranty by January 1, 2019.
 
A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
