Item 5.03                                           Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 14, 2018, the Board of Directors of Immunomedics, Inc. (the “Company”) approved a change of the Company’s fiscal year end from June 30 to a calendar year ending December 31, effective immediately. Accordingly, the new fiscal year will begin on January 1 and end on December 31. The Company will file a transition report on Form 10-K for the six-month transition period ending December 31, 2018.
