Item 8.01. Other Events.

 

On December 10, 2018, the U.S. Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”) with respect to the pending acquisition (the “Merger”) of XO Group Inc. (the “Company”) by WeddingWire, Inc. (“Parent”) pursuant to the Agreement and Plan of Merger, dated as of September 24, 2018, by and among Parent, Wedelia Merger Sub, Corp., a wholly owned subsidiary of Parent, and the Company. The grant of early termination is effective immediately. The early termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Merger.  Subject to the receipt of stockholder approval in respect of the Merger at the Company’s special meeting of stockholders scheduled for December 18, 2018, the Company and Parent now anticipate that the Merger will close during December 2018.
