Item 5.02
Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On November 30, 2018, Craig L. Jackson resigned his positions as President and Chief Executive Officer, and as a member of the Board of Directors, of IPALCO Enterprises, Inc. (“IPALCO”) and its principal subsidiary, Indianapolis Power & Light Company (“IPL”), to explore other employment opportunities. Mr. Jackson has agreed to assist with the orderly transitioning of his duties at IPALCO and IPL. IPALCO and IPL have not yet named an interim or a replacement President and Chief Executive Officer and currently are in the process of identifying candidates.
