ITEM 2.05.

Costs Associated with Exit or Disposal Activities.

On December 4, 2018 STERIS plc (“STERIS”) issued a release announcing a targeted restructuring plan, which plan includes closure of two manufacturing facilities, one in Brazil and one in England, as well as other actions, including product rationalization. A copy of the release, which contains additional detail regarding the restructuring, is attached hereto and made part of this current report on Form 8-K as Exhibit 99.1.

STERIS committed to these actions on December 4, 2018 and the restructuring is expected to be substantially completed and all cash payments are expected to be made by June 30, 2019. The $45 million of restructuring charges includes approximately $35 million of non-cash charges (principally related to impairment of tangible and intangible assets), and $10 million of future cash charges, consisting of approximately $8 million one-time employee termination benefit payments and approximately $2 million in miscellaneous one-time costs, including contract termination costs.
