Explanatory Note
This Form 8-K/A is being filed as an amendment to the Current Report on Form 8-K filed on November 14, 2018, by Mannatech, Incorporated (the “Company”), as a result of the Company issuing an updated press release and in order to update the information disclosed under “Item 8.01 Other Event” regarding the declared dividend for the third quarter of 2018. The Company was notified that all U.S. Markets will be closed on Wednesday, December 5, 2018 for a national day of mourning in honor of the late President George H.W. Bush. As a result, the previously declared shareholder of record date of December 6, 2018 has been revised to December 7, 2018.
Item 8.01. Other Event.
On December 4, 2018, Mannatech, Incorporated issued an updated press release announcing that the Board had declared a dividend for the third quarter of 2018. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K/A.
