Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On November 29, 2018, the Board of Directors’ of Saker Aviation Services, Inc. (the “Company”) appointed Ronald J. Ricciardi to serve as the Company’s Chief Executive Officer. Mr. Ricciardi will also continue to serve as the Company’s President and as a Director of the Company. Disclosure regarding Mr. Ricciardi’s business experience is contained in the Company’s definitive Proxy Statement filed with the Securities and Exchange Commission on October 19, 2018 under the heading “Proposal One - Election of Directors,” the applicable portions of which sections are hereby incorporated herein by reference.

At the Company’s Annual Meeting of Stockholders held on November 29, 2018, the Company’s stockholders voted on the matters described below.

The Company’s stockholders elected five directors, each for a one year term expiring in 2019.
