Item 8.01    Other Events

 

On November 21, 2018, iPass Inc. (the “Company”) received formal notice from The Nasdaq Stock Market LLC (“Nasdaq”) informing the Company that Nasdaq has revised its determination made on November 5, 2018 to delist the shares of the Company from the Nasdaq Capital Market, based on Nasdaq’s review of information provided by the Company upon the Company’s motion for reconsideration. The Company’s shares will resume trading on the Nasdaq Capital Market on November 23, 2018 and they will continue to trade until January 31, 2019. The Company is aware that the Nasdaq Listing and Hearing Review Council may, on its own motion, determine to review this decision within the next 45 days.
