Item 8.01

Other Events.

On November 6, 2018, Bojangles’, Inc., a Delaware corporation (the “Company”), issued a joint press release announcing the entry into an Agreement and Plan of Merger (the “Merger Agreement”) with Walker Parent, Inc., a Delaware corporation (“Parent”), and Walker Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Sub”). Parent and Merger Sub are affiliates of investment funds affiliated with Durational Capital Management LP and The Jordan Company, L.P. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
