Item 8.01.Other Events.

 

On October 31, 2018, Altice USA, Inc. (“Altice USA”) issued a press release announcing the final results of transactions to combine its Suddenlink and Optimum businesses under a single credit silo, FCC approval of the combination and the expiration of their previously announced exchange offer and consent solicitation.

 

The exchange offer and consent solicitations, and the related offering of notes were made only (1) to “qualified institutional buyers” as defined in Rule 144A under the U.S. Securities Act of 1933 (the “Securities Act”), in a private transaction in reliance upon the exemption from the registration requirements of the Securities Act provided by Section 4(a)(2) thereof and (2) outside the United States, to persons other than “U.S. persons” as defined in Rule 902 under the Securities Act in offshore transactions in compliance with Regulation S under the Securities Act.
