Item 8.01 Other Events.

 

On October 26, 2018, Rowan Companies plc (“Rowan”) distributed to its employees an email communication, which was also made available as an internal bulletin in the same form, discussing the pending scheme of arrangement with Ensco plc (“Ensco”). A copy of which is furnished as Exhibit 99.1 and incorporated into this Item 8.01 by reference.
