Item 1.01 Entry into a Material Definitive Agreement.
On October 25, 2018, Jack in the Box Inc. (the “Company”) entered into a confidentiality and standstill letter agreement (the “Agreement”) with JANA Partners LLC (“JANA”). Under the Agreement, JANA agreed to maintain the confidentiality of certain business information to be furnished by the Company to JANA and to abide by customary standstill obligations, subject to certain exceptions. The confidentiality and standstill obligations under the Agreement expire on December 14, 2018, unless earlier terminated as described in the Agreement.
The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the Agreement, a copy of which is attached as Exhibit 10.1 to this Current Report on Form 8-K and incorporated into this Item 1.01 by reference.
