On October 1, 2018, Bay Banks of Virginia, Inc. (the “Company”), holding company for Virginia Commonwealth Bank and VCB Financial Group, filed a Current Report on Form 8-K under Item 5.02 reporting that the Board of Directors had appointed Vance H. Spilman to the Board of Directors. At the time of that filing, Mr. Spilman had not been appointed to any committees of the Board of Directors. The Company is filing this Form 8-K/A to report that on October 24, 2018, the Board of Directors appointed Mr. Spilman to serve on the Compensation Committee and the Enterprise Risk Management Committee, effective immediately.
