Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b) On October 25, 2018, Flex Ltd. (the “Company”) announced that, on October 22, 2018, Michael M. McNamara, the Company’s Chief Executive Officer and a member of the Company’s Board of Directors, advised the Board that he has decided to retire as Chief Executive Officer, effective December 31, 2018.  The Board has engaged Heidrick & Struggles International, Inc. to conduct a search for a new Chief Executive Officer and will be considering both internal and external candidates. Michael D. Capellas, Chairman of the Board, will actively assist the Company’s management with the Chief Executive Officer transition.

 

On October 25, 2018, the Company issued a press release announcing the retirement of Mr. McNamara, a copy of which is attached as Exhibit 99.1 hereto.
