Item 3.02 Unregistered Sales of Equity Securities.

In connection with the closing of the initial public offering of shares of common stock of Equillium, Inc. (the “Company”), which occurred on October 16, 2018 (the “IPO”), the Company issued (i) an aggregate of 878,834 shares of its common stock as a result of the automatic conversion of $9.4 million of aggregate principal amount, plus accrued interest thereon, underlying convertible promissory notes and (ii) 228,060 shares of its common stock to Biocon SA pursuant to certain anti-dilution rights that were satisfied in full upon such issuance.

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Amendment and Restatement of Certificate of Incorporation

On October 16, 2018, the Company filed an amended and restated certificate of incorporation (the “Restated Certificate”) with the Secretary of State of the State of Delaware in connection with the closing of the IPO. The Company’s board of directors and stockholders previously approved the Restated Certificate effective as of immediately prior to the closing of the IPO.

A copy of the Restated Certificate is furnished herewith as Exhibit 3.1 and is incorporated herein by reference.

Amendment and Restatement of Bylaws

Effective as of October 16, 2018, the Company adopted amended and restated bylaws (the “Restated Bylaws”) in connection with the closing of the IPO. The Company’s board of directors and stockholders previously approved the Restated Bylaws effective as of and contingent upon the closing of the IPO.

A copy of the Restated Bylaws is furnished herewith as Exhibit 3.2 and is incorporated herein by reference.
