Item 8.01.   Other Events.

On October 15, 2018, Seritage Growth Properties (the “Company”) distributed a letter from its Chief Executive Officer providing a business update with respect to recent events regarding the bankruptcy filing by Sears Holdings Corporation.  A copy of the letter is attached as Exhibit 99.1 hereto and is incorporated herein by reference.

On October 15, 2018, the Company issued a press release providing a business update with respect to recent events regarding the bankruptcy filing by Sears Holdings Corporation.  A copy of the press release providing such update is attached as Exhibit 99.2 hereto and is incorporated herein by reference.
