Item 1.01 Entry into a Material Definitive Agreement.

 

On October 9, 2018 Anvia Holdings Corporation (the “Company”) entered into and closed an Acquisition Agreement with Egnitus Inc., a Nevada corporation, and shareholders of Egnitus Inc. (:Egnitus”), pursuant to which the Company acquired 100% of the issued and outstanding capital stock of Egnitus in exchange for 19,768,800 shares of the company’s common stock. Egnitus Inc and its subsidiaries trading under the brand Egnatium has been operating in South East Asia and Australia since 2004. Egnitus specialises in helping individuals and organizations grow. Egnatium has its own proprietary software, mobile applications, learning and consulting modules in areas of Strategy, Competency, Employee Performance, Learning Management and Customer Experience.

Item 3.02. Unregistered Sales of Equity Securities

 

The information set forth in Item 1.01 of this report is incorporated by reference into this Item 3.02. The issuance of the 19,768,800 shares of Common Stock pursuant to the Securities Purchase Agreement were made in reliance on the exemption from registration afforded under Section 4(2), of the Securities Act of 1933, as amended, and/or Rule 506 of Regulation D and/or Regulation S promulgated thereunder. Such offer and sale were not conducted in connection with a public offering, and no public solicitation or advertisement was made or relied upon by the Seller/Investor in connection with the issuance by the Company of the Shares.

 

Item 7.01 Regulation FD Disclosure

 

On October 10, 2018, Anvia issued a press release announcing the acquisition of Egnitus Inc. A copy of the press release is being furnished as Exhibit 99.1 hereto and is incorporated into this Item 7.01 by reference.

 

The information furnished pursuant to Item 7.01, including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, is not subject to the liabilities of that section and is not deemed incorporated by reference in any filing of Basic’s under the Securities Act of 1933, as amended, unless specifically identified therein as being incorporated therein by reference.
