Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On October 4, 2018, Meghan DeMasi provided notice of her resignation as the Vice President of Accounting & Controls, Principal Accounting Officer of Covia Holdings Corporation (“us,” “we” or “registrant”) for personal reasons. Ms. DeMasi is expected to remain with us to assist with an orderly transition of her duties, and we anticipate this transition will be completed no later than June 1, 2019.
