ITEM 7.01.     REGULATION FD DISCLOSURE.
On October 9, 2018, LaSalle Hotel Properties (the “Company” or “LaSalle”) and Pebblebrook Hotel Trust (“Pebblebrook”) issued a joint press release announcing the pending merger transaction is on schedule for a planned closing date of November 30, 2018. A copy of such press release is furnished as Exhibit 99.1 to this report.
The information in Item 7.01 of this report, including the information in the press release attached as Exhibit 99.1 to this report, is furnished pursuant to Item 7.01 of Form 8-K and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section. Furthermore, the information in Item 7.01 of this report, including the information in the press release attached as Exhibit 99.1 to this report, shall not be deemed to be incorporated by reference in the filings of the registrant under the Securities Act of 1933, as amended.
ITEM 8.01.    OTHER EVENTS.
On October 9, 2018, the Company announced the special meeting of its shareholders (the “Special Meeting”) to vote on the proposal to approve the Pebblebrook merger and other transactions contemplated by the merger agreement will be held on November 27, 2018. Shareholders of record as of the close of business on October 23, 2018 will be entitled to vote at the Special Meeting.
