Item 8.01.
Other Events

First Citizens BancShares, Inc.'s subsidiary, First-Citizens Bank & Trust Company ("FCB"), consummated its acquisition of Milwaukee, WI-based Capital Commerce Bancorp, Inc. ("Capital Commerce") and its bank subsidiary, Securant Bank & Trust effective October 1, 2018. Following the closing, Capital Commerce and Securant each was merged into FCB effective October 2, 2018. Pursuant to the terms of the merger agreement, cash consideration of $4.75 was paid by FCB to Capital Commerce's shareholders for each of their shares of Capital Commerce's common stock.

A copy of the press release issued by FCB is attached as Exhibit 99.1 to this Report.
