Item 8.01          Other Events.
 
On September 25, 2018, Sonic Corp. (the “Company”) issued a press release announcing its entry into a definitive merger agreement (the “Merger Agreement”) under which Inspire Brands, Inc. will acquire the Company for $43.50 per share in cash in a transaction valued at approximately $2.3 billion including the assumption of the Company’s net debt.  The terms of the Merger Agreement do not allow the Company to declare or pay dividends during the pendency of the transactions contemplated by the Merger Agreement.
