Item 3.02 Unregistered Sales of Equity Securities.
On September 20, 2018, Franchise Holdings International, Inc. (“FNHI”), sold an aggregate of 8,753,000 restricted shares of common stock, par value $0.0001 per share, of FNHI to two long term sophisticated investors for an aggregate $175,000 at a price per share of $0.02. The shares sold are restricted for a period of six months from the date of sale.
