Item 1.01.  Entry into a Material Definitive Agreement.

On September 19, 2018 (the “Sixth Amendment Effective Date”), J.Crew Group, Inc. (the “Company”), Chinos Intermediate Holdings B, Inc., Bank of America, N.A., as administrative agent and as collateral agent, and each lender party thereto entered into that certain Sixth Amendment to Credit Agreement (Incremental Amendment) (the “Sixth Amendment”), which modifies the Company’s asset-based revolving credit facility (the “ABL Facility”). The Sixth Amendment amends the ABL Facility to increase the revolving credit commitment, as further described below.

The Sixth Amendment increases the revolving credit commitment under the ABL Facility from $350,000,000 to $375,000,000. The additional $25,000,000 is provided by MUFG Union Bank, N.A., which joins the ABL Facility as an additional lender.
