On September 10, 2018, SG Blocks, Inc. (the “Company”) entered into a new venture through SG Residential, Inc., a Delaware corporation (“SG Residential”), that will focus on the sales and financing of single-family container-based modular homes. The Company’s wholly-owned subsidiary, SG Building Blocks, Inc., will be the exclusive supplier of modular homes to SG Residential on an arm’s length basis. Villarreal Advisory Group, LLC, an Idaho limited liability company and the entity’s other stockholder, holds a majority economic interest in SG Residential. SG Building Blocks, Inc. has the right to appoint a majority of the directors of SG Residential and will manage the entity’s day to day operations.
