Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 11, 2018, the board of directors (the “Board”) of Chuy’s Holdings, Inc. (the “Company”) appointed John Mountford as the Company’s Chief Operating Officer.
John Mountford, age 56, has served as the Company's Vice President of Culinary Operations since 2016. He joined the Company in 2010 and served as an Area Supervisor of Operations from 2010 to 2013 and as a Director of Culinary Operations from 2013 to 2016.
Prior to joining the Company, John was with Sam Seltzers Steak House from 2006 to 2010. He served as President and Chief Executive Officer from 2007 to 2010 and Vice President of Operations from 2006 to 2007. Prior to Sam Seltzers, John served in various operational leadership positions, including Vice President of Culinary Operations for Cooker Bar and Grill, and Director of Culinary Operations for Houston’s Restaurants where he opened over 30 new restaurants.
Mr. Mountford will receive an annual base salary of $207,500 and will be eligible to receive a target annual bonus of 30% of his annual base salary, based upon the achievement of goals and objectives determined by our compensation committee with a minimum and maximum bonus of 0% and 60% of his annual base salary, respectively.
In connection with his appointment as Chief Operating Officer, Mr. Mountford entered into the Company’s standard form of indemnification agreement. Additionally, there are no relationships between Mr. Mountford and the Company that would require disclosure under Item 404(a) of Regulation S-K.
