Item 8.01 Other Events.
On September 13, 2018, MPM Holdings Inc., a Delaware corporation (the “Company”), issued a press release announcing the entry by the Company into an Agreement and Plan of Merger with SJL Partners LLC, KCC Corporation and Wonik QnC Corporation (the “Press Release”). A copy of the Press Release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
