Item 1.01. | Entry into a Material Definitive Agreement. |
On September 6, 2018, Sharing Economy International, Inc. (“SEII”) wholly-owned subsidiary, EC Technology & Innovations Limited (“EC Tech”), entered into a Services Agreement (the “Agreement”) with Coassets International Pte Ltd. (“CAI”). Pursuant to the Agreement, CAI shall provide EC Tech with financial technology services in consideration for 330,650 of shares of common stock of SEII at a par value of US$0.001 per share The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the complete text of the Agreement, which is incorporated herein by reference and attached hereto as Exhibit 10.1.

The disclosure set forth in Item 1.01 is incorporated by reference into this Item 3.02. The shares to be issued in connection with the transaction shall be issued pursuant to an exemption from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), pursuant Section 4(a)(2) of the Securities Act and Regulation S promulgated thereunder.
