Item 1.01 Entry into Material Definitive Agreement.

 

As previously disclosed, on June 14, 2018, Catasys, Inc. (the “Company”) entered into a venture loan and security agreement (the “Loan Agreement”) with Horizon Technology Finance Corporation (“Horizon”), which provided for up to $7.5 million in loans to the Borrowers, including initial loans in the amount of $5.0 million funded upon signing of the Loan Agreement and an additional $2.5 million loan, subject to the Company’s achievement of trailing three month billings exceeding $5 million on or prior to November 30, 2018. Terms used but not defined herein have the meaning given them in the Loan Agreement.

 

On August 31, 2018, the Company incurred the additional $2.5 million loan as a result of the Company’s achievement of trailing three month billings exceeding $5 million on or prior to November 30, 2018.
