Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 31, 2018, John Gerspach informed Citigroup Inc. (Citi) that he will retire from his position as Chief Financial Officer on March 1, 2019.

 

Item 8.01  Other Events.

 

Citi intends to appoint Mark Mason, 49, currently the Chief Financial Officer of Citi’s Institutional Clients Group and the executive responsible for Citi’s CCAR submission process, as Chief Financial Officer of Citi following Mr. Gerspach’s retirement. Citi intends to file a Form 8-K on or after the date Mr. Mason is appointed CFO of Citi and will include information required to be disclosed in connection with the appointment of the principal financial officer.
