Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 31, 2018, Yaron Werber, M.D. notified Ovid Therapeutics Inc. (the “Company”) of his intention to resign as the Company’s Chief Business and Financial Officer as well as all other positions he holds at the Company. Dr. Werber will remain with the Company as its Chief Business and Financial Officer through September 21, 2018. Dr. Werber has accepted a position as managing director and senior biotechnology analyst at Cowen and Company and did not resign as a result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices, including its controls or financial-related matters. The Company has commenced a search for a new Chief Financial Officer.
