Item 7.01 Regulation FD Disclosure.

 

On August 30, 2018, Federal Street Acquisition Corp. (“FSAC”) issued a joint press release with Universal Hospital Services, Inc., the operating subsidiary of UHS Holdco, Inc. (“UHS”), announcing that Universal Hospital Services, Inc. will participate in the Wells Fargo Healthcare Conference in Boston on September 6, 2018 and in the  Morgan Stanley Global Healthcare Conference in New York City on September 13, 2018. A copy of the press release is furnished hereto as Exhibit 99.1 and incorporated by reference herein.

FSAC filed a preliminary proxy statement with the Securities and Exchange Commission (“SEC”) on August 22, 2018 for use at the special meeting of stockholders to approve the business combination with UHS. The preliminary proxy statement forms part of a Registration Statement on Form S-4 with respect to the securities being issued by Agiliti, Inc. (“Agiliti”) in the transaction (the “Prospectus/Proxy Statement”).
