Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective August 21, 2018, Matthew Barzun will resign from the Gannett Co., Inc. Board of Directors. His resignation was made in connection with Mr. Barzun’s plans to acquire Louisville magazine and Louisville.com, news and information platforms that are operated in one of Gannett’s local markets.
