Explanatory Note
On August 9, 2018, AgroFresh Solutions, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Filing”) furnishing under Items 2.02 and 9.01 of the Form 8-K the Company’s press release announcing, among other things, preliminary financial results for the quarter and six months ended June 30, 2018 (the “Initial Earnings Release”). The full text of the Initial Earnings Release was included as Exhibit 99.1 to the Original Filing. The purpose of this Current Report on Form 8-K/A is to amend the Original Filing by furnishing a press release that reports updated financial results for the quarter and six months ended June 30, 2018.
Item 2.02. Results of Operations and Financial Condition.
On August 15, 2018, the Company issued a press release announcing, among other things, updated financial results for the quarter and six months ended June 30, 2018 (the “Updated Earnings Release”). A copy of the Updated Earnings Release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
