Item 8.01. Other Events.

Tender Offer and Consent Solicitation

On August 14, 2018, Qorvo, Inc. (the “Company”) issued a press release announcing the commencement of a cash tender offer (the “Tender Offer”) for up to $130 million of the Company’s outstanding 7.00% Senior Notes due 2025 (the “2025 Notes”). In connection with the Tender Offer, the Company is also soliciting consents from holders of the 2025 Notes to amend certain provisions of the indenture with respect to the 2025 Notes (the “Consent Solicitation”). A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

This Current Report on Form 8-K does not constitute an offer to purchase nor a solicitation of an offer to sell any 2025 Notes in the Tender Offer. The Tender Offer and the Consent Solicitation are only being made pursuant to an Offer to Purchase and Consent Solicitation Statement and the accompanying Letter of Transmittal and Consent. The Tender Offer and the Consent Solicitation are not being made to holders of 2025 Notes in any state or jurisdiction in which the making or acceptance thereof would be unlawful under the securities laws of any such jurisdiction.

Notes Offering

On August 14, 2018, the Company issued a press release announcing that it proposes to offer, subject to market conditions and other factors, an additional $100 million principal amount of its 5.50% Senior Notes due 2026 in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and to certain non-U.S. persons in accordance with Regulation S under the Securities Act. A copy of the press release is attached hereto as Exhibit 99.2 and incorporated herein by reference.
