On August 7, 2018, the Board of Directors (the “Board”) of Seven Stars Cloud Group, Inc. (the “Company”) appointed Mr. Chao Yang to serve as an independent director of the Board. There are no family relationships between Mr. Yang and any of the Company’s officers and directors and there are no other transactions to which the Company or any of its subsidiaries is a party in which Mr. Yang has a material interest subject to disclosure under Item 404(a) of Regulation S-K.

On August 8, 2018, the Company issued a press release announcing the appointment of Mr. Chao Yang to the Board. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
