Item 8.01. Other Events.
On August 8, 2018, WellCare Health Plans, Inc. (the “Company”) announced the pricing of an offering of $750.0 million aggregate principal amount of 5.375% senior notes due 2026 (the “Notes”) to be issued by the Company. A copy of the press release making this announcement is attached hereto as Exhibit 99.1, and incorporated by reference herein. The Notes have not been registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements.
