Item 2.02 Results of Operations and Financial Condition
On August 2, 2018, C&J issued a press release (the “Earnings Release”) announcing the Company’s financial and operating results for the second quarter of 2018, as well as the stock repurchase program disclosed under Item 8.01 hereof. C&J is hereby furnishing the Earnings Release, which is included as Exhibit 99.1 hereto, pursuant to Item 2.02 of Form 8-K.
C&J will host a conference call on Thursday, August 2, 2018 at 10:00 a.m. ET / 9:00 a.m. CT to discuss the Company’s second quarter 2018 financial and operating results. Interested parties may listen to the conference call via a live webcast accessible on our website at www.cjenergy.com or by calling U.S. (Toll Free): 1-855-560-2574 or International: 1-412-542-4160 and asking for the “C&J Energy Services’ Earnings Call.” Please dial-in ten to fifteen minutes before the scheduled call time to avoid any delays entering the earnings call. An archive of the webcast will be available shortly after the call on C&J’s website at www.cjenergy.com for twelve months following the call. As disclosed under Item 2.02 hereof, on Thursday, August 2, 2018, C&J issued the Earnings Release announcing its financial and operating results for the second quarter of 2018, as well as the stock repurchase program disclosed under Item 8.01 hereof. A copy of the Earnings Release is furnished as Exhibit 99.1 hereto, pursuant to Item 7.01 of Form 8-K.

Item 8.01 Other Events

On July 31, 2018, the Company’s Board of Directors approved a stock repurchase program authorizing the repurchase, at the discretion of senior management, of up to $150 million of the Company’s common stock over the twelve month period starting August 1, 2018 in open market or in privately negotiated transactions, subject to U.S. Securities and Exchange Commission regulations, stock market conditions, capital needs of the business, and other factors. Repurchases may be commenced or suspended at any time without notice. The program does not obligate C&J to purchase any particular number of shares of common stock during any period or at all, and the program may be modified or suspended at any time in the Company’s discretion.
