Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The Board of Directors (the “Board”) of Ally Financial Inc. (the “Company”) appointed Brian H. Sharples and Katryn (Trynka) Shineman Blake to serve as members of the Board, effective August 3, 2018, until the next annual meeting of stockholders. In connection with their appointments, Mr. Sharples and Ms. Shineman will receive, under the Company’s 2017 Non-Employee Directors Equity Compensation Plan, a one-time initial award of deferred stock units, as well as a prorated annual retainer grant of deferred stock units, as described in the “Director Compensation” section of the Company’s most recent proxy statement.
