SWM ANNOUNCES SECOND QUARTER 2018 RESULTS


ALPHARETTA, GA, August 1, 2018 -- Schweitzer-Mauduit International, Inc. ("SWM" or the "Company") (NYSE: SWM) reported earnings results for the three month period ended June 30, 2018.

Adjusted measures are reconciled to GAAP at the end of this release. Financial measures are from continuing operations and per share data is on a diluted basis. Financial and operating comparisons are versus the prior year period. Definitions: Advanced Materials & Structures (AMS), reverse osmosis (RO), Engineered Papers (EP), low ignition propensity (LIP), reconstituted tobacco leaf (RTL), heat-not-burn (HnB)

Second Quarter 2018 Financial Results Summary

Total sales grew 6% to $270.4 million (no acquisition benefit)
GAAP operating profit was $42.1 million, or 15.6% of sales, up 4%; adjusted operating profit was unchanged at $47.9 million, or 17.7% of sales
GAAP earnings per share was $0.83, up 15%; Adjusted EPS was $0.99, up 13%

Second Quarter 2018 Business Highlights

AMS segment sales increased 5% (no acquisition benefit) with strong gains in filtration, led by both RO water and process markets, and medical product lines
AMS GAAP and adjusted operating profit margin contracted 40 and 160 basis points, respectively, due primarily to site closure expenses and higher resin costs, compared to strong segment margin in the prior year period
EP segment sales increased 6% despite a 4% volume decline; favorable currency movements of 5% and positive price/mix performance drove sales growth
EP GAAP and adjusted operating profit margins contracted 30 and 70 basis points, respectively, with higher pulp costs partially offset by manufacturing efficiencies

Dr. Jeff Kramer, Chief Executive Officer, commented, "Second quarter Adjusted EPS growth of 13% marked another solid performance despite an inflationary cost environment. Both of our segments delivered organic sales growth and total adjusted operating profit was stable, with lower taxes providing an earnings boost. We raised prices and drove efficiencies to help mitigate raw material headwinds, but we continue to expect input costs to pose challenges in the coming quarters."

"AMS sales increased 5%, with double digit growth in filtration and medical products leading the portfolio. RO water filtration momentum continued as our customers' replenishment cycle turns back in our favor, and our process filtration sales performed well with gains in semiconductor manufacturing and heavy equipment end-markets. We also delivered high growth in medical, with strength in several niche product lines. While second quarter transportation sales declined slightly versus a very strong quarter last year, our full-year growth outlook remains intact. Higher sales were offset by elevated resin costs and anticipated expenses related to the planned site closure. These additional costs provided a challenging comparison as AMS achieved record segment adjusted operating margin of nearly 20% in the prior year period. Our price increases implemented during the second quarter on polypropylene-based products mostly covered the higher resin costs and we continue to expect facility rationalization synergies to provide a boost to fourth quarter margins."

"EP segment volume decreased 4%, with higher total cigarette paper and HnB volumes offset by the decline in traditional RTL and lower-margin non-tobacco volumes. Despite lower overall volume, sales grew 6% due to both strong price/mix benefits and favorable currency movements. Higher pulp costs continued to pressure margins, but good top-line performance and plant productivity improvements curtailed the impact."

Dr. Kramer concluded, "Year-to-date free cash flow continued to track ahead of 2017 and toward our expectation of more than $100 million for the full year, and we were able to reduce debt to further de-lever the balance sheet. We enter the second half of 2018 with strong sales momentum and expectations for Conwed synergy realization in AMS, and will continue to closely monitor the input cost pressures across both businesses for the balance of the year."




Second Quarter 2018 Financial Results

Advanced Materials & Structures segment sales were $124.0 million, up 5%, with no acquisition benefit in the quarter. High growth in filtration, particularly RO water and process filtration, and medical were the key drivers. Transportation sales were slightly lower compared to a very strong prior-year quarter, while infrastructure and construction and industrial sales were flat. GAAP operating profit was $17.0 million, up 2%. Adjusted operating profit was $22.6 million, down 3%, with margin contracting 160 basis points to 18.2% compared to strong segment profitability in the prior-year quarter. Higher resin costs were mostly offset by price increases, but still negatively impacted profitability. The company also continued to incur certain site closure expenses, which are expected to decline in the second half of 2018.

Engineered Papers segment sales were $146.4 million, up 6%, with favorable currency movements of $6.7 million, or 5%. Overall volume decreased 4% as lower reconstituted tobacco and non-tobacco volumes were partially offset by cigarette paper growth. Improved price/mix accounted for 6% sales growth (% changes of volume/price/mix/currency do not sum to sales growth due to rounding) and LIP royalties were flat. GAAP operating profit was $33.3 million, up 5%, and adjusted operating profit was $33.5 million, up 3%; adjusted operating profit margin contracted by 70 basis points, due largely to higher pulp costs. This inflationary pressure was partially offset by manufacturing efficiencies from productivity improvements. Favorable currency movements resulted in a $2.6 million benefit to operating profit.
 
Unallocated GAAP and adjusted expenses were both $8.2 million, up 4%. Adjusted unallocated expenses were 3.0% of total sales, down 10 basis points.

Consolidated sales were $270.4 million, up 6% (no acquisition benefit). GAAP operating profit was $42.1 million, up 4%, and GAAP operating profit margin was 15.6%, down 20 basis points. Adjusted operating profit was flat at $47.9 million, and adjusted operating profit margin was 17.7%, down 100 basis points. Adjusted EBITDA was $57.9 million, up 2%, and adjusted EBITDA margin was 21.4%, down 80 basis points.

GAAP income was $25.8 million, up 16%; this equated to GAAP EPS of $0.83. Adjusted income was $30.3 million, up 10%; this equated to Adjusted EPS of $0.99. Interest expense was $6.6 million, down $0.2 million due primarily to lower outstanding debt balances. Other expense was $0.5 million, down from $1.6 million. The Company's effective tax rate was 24.9%, down from 31.0%, due primarily to the impact of new tax legislation in the U.S. The Chinese JVs generated a $0.02 loss for both GAAP EPS and Adjusted EPS, versus a $0.01 gain in the prior year period, due primarily to timing of orders. Net currency movements had a 3% positive impact on sales and a $3.0 million positive impact on operating profits; the translation impact of net currency movements was positive $0.04 to both GAAP EPS and Adjusted EPS.

Non-GAAP Adjustments reflect items included in GAAP operating profit, income, and EPS, but excluded from adjusted operating profit, income, and EPS. The most significant item was purchase accounting expenses of $0.15 per share, up $0.03. Purchase accounting expenses reflect the ongoing non-cash intangible asset amortization, as well as any non-cash one-time inventory step-up charges, associated with AMS acquisitions. Restructuring and impairment expenses were $0.01 per share, down $0.03.
 
2018 Year-to-Date Financial Results

Advanced Materials & Structures segment sales were $239.3 million, up 10%, including the 3-week partial period benefit from the Conwed acquisition in 2018. Pro forma (assuming SWM had owned Conwed for the full first quarter of 2017) organic growth was 6%. Strong sales increases in transportation, filtration, and medical products were key drivers. These gains were partially offset by softness in infrastructure and construction. GAAP operating profit was $27.6 million, up 8%; the increase was attributable to a significant reduction in purchase accounting expenses, specifically one-time inventory step-up charges. Adjusted operating profit was $38.8 million, down 4%, with margin contracting 240 basis points to 16.2%. Accelerated depreciation and anticipated manufacturing inefficiencies at the site scheduled for closure in the second half of 2018 negatively impacted profitability, particularly in the first quarter of 2018. Higher resin costs also impacted first half 2018 profitability.

Engineered Papers segment sales were $293.0 million, up 8%, with favorable currency movements of $17.7 million, or 7%. Overall volume decreased 1% with lower reconstituted tobacco volumes offsetting growth in cigarette and non-tobacco papers. Price and mix combined for a 3% sales increase and LIP royalties were flat (% changes of volume/price/mix/currency do not sum to sales growth due to rounding). GAAP operating profit was $67.2 million, up 13%, and adjusted operating profit was $67.4 million, up 11%; adjusted operating profit margin expanded 50 basis points. The increase was primarily driven by improved manufacturing efficiency versus a prior year period that was negatively



impacted by certain production issues (during first quarter 2017). Those gains were partially offset by higher pulp costs and other inflationary pressures. Favorable currency movements resulted in a $5.1 million benefit to operating profit.
 
Unallocated GAAP and adjusted expenses were both $17.7 million, up 4% and 5%, respectively. Adjusted unallocated expenses were 3.3% of total sales, down 20 basis points.

Consolidated sales were $532.3 million, up 9%, and 7% on an organic basis (pro forma assuming SWM had owned Conwed for the full first quarter of 2017). GAAP operating profit was $77.1 million, up 14%, and GAAP operating profit margin was 14.5%, up 60 basis points. Adjusted operating profit was $88.5 million, up 5%, and adjusted operating profit margin was 16.6%, down 70 basis points. Adjusted EBITDA was $108.6 million, up 7%, and adjusted EBITDA margin was 20.4%, down 40 basis points.

GAAP income was $46.7 million, up 30%; this equated to GAAP EPS of $1.51. Adjusted income was $55.6 million, up 18%; this equated to Adjusted EPS of $1.81. Interest expense was $12.8 million, up $0.2 million due to primarily to higher interest rates. Other expense was $0.8 million, down from a $2.7 million expense, and included a $1.2 million gain related to a favorable LIP patent infringement action. The Company's effective tax rate was 25.2%, down from 32.3%, due primarily to the impact of new tax legislation in the U.S. The Chinese JVs generated a $0.03 loss for both GAAP EPS and Adjusted EPS, versus a $0.01 gain in the prior year period, due primarily to timing of orders. Net currency movements had a 4% positive impact on sales and a $5.8 million positive impact on operating profits; the translation impact of net currency movements was positive $0.07 to both GAAP EPS and Adjusted EPS.

Non-GAAP Adjustments reflect items included in GAAP operating profit, income, and EPS, but excluded from adjusted operating profit, income, and EPS. The most significant item was purchase accounting expenses of $0.28 per share, down $0.02. Purchase accounting expenses reflect the ongoing non-cash intangible asset amortization, as well as any non-cash one-time inventory step-up charges, associated with AMS acquisitions. Restructuring and impairment expenses were $0.02 per share, down $0.05.

Cash Flow, Debt, & Dividend

Year-to-date 2018 cash provided by operating activities was $55.9 million, up $11.1 million. The Company's working capital-related cash outflows were $30.7 million, up $2.7 million. Capital spending and capitalized software totaled $14.3 million, down $6.6 million, due mainly to timing of capital projects. Free cash flow increased to $41.6 million, from $23.9 million in the prior year period, due mostly to higher profits and lower capital spending. Year-to-date, the Company has paid dividends to stockholders totaling $26.4 million.

Total debt was $642.8 million on June 30, 2018, down $41.4 million from year end 2017; at the end of the second quarter, the company repatriated $24.0 million from foreign subsidiaries, of which most was used to reduce total debt. Net debt was $568.9 million on June 30, 2018, down $8.4 million from year end 2017. Pursuant to the debt covenants and certain adjustments to foreign cash balances contained in the Company’s credit facility, the Company's net debt to adjusted EBITDA was approximately 2.8x as of June 30, 2018, down from 3.0x at year-end 2017.

The Company announced that a quarterly cash dividend of $0.43 per share will be payable on September 21, 2018 to stockholders of record as of August 24, 2018.
