Item 1.01 — Entry into a Material Definitive Agreement.

 

On July 26, 2018, each of Owl Rock Capital Corporation (the “Company”) and The Regents of the University of California (“Regents”) increased their contribution to Sebago Lake LLC (“Sebago Lake”) up to an aggregate of $125 million. Sebago Lake, a Delaware limited liability company, was formed as a joint venture between the Company and Regents to make investments, primarily in senior secured loans that are made to middle-market companies or in broadly syndicated loans. Both the Company and Regents (the “Members”) have a 50% economic ownership in Sebago Lake. Sebago Lake is managed by the Members, each of which have equal voting rights. Investment decisions must be approved by each of the Members.
