Noble Energy, Inc. (the “Company”) hereby files this Amendment No. 1 to the Form 8-K filed by the Company on May 31, 2018 (the “Original 8-K”) to include additional disclosure under Item 5.02 regarding the appointment of Ms. Barbara J. Duganier to certain committees of the Company’s board of directors (the “Board”).
Except for the following disclosure, this amendment does not modify or update any other disclosures contained in the Original 8-K. This amendment supplements and does not supersede the Original 8-K and, accordingly, should be read in conjunction with the Original 8-K.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) Election of Director.
On July 24, 2018, the Board appointed Ms. Duganier to the Company’s Corporate Governance and Nominating Committee and the Audit Committee, effective immediately as of such date. In addition, the Board determined that Ms. Duganier is independent for Board and committee purposes under the applicable standards of the New York Stock Exchange and rules and regulations of the Securities and Exchange Commission.
