Item 7.01 Regulation FD Disclosure.
On July 24, 2018, Green Bancorp, Inc. (“Green”) released a presentation to investors about the Transaction (as defined below). The presentation is attached hereto as Exhibit 99.1 and incorporated herein by reference.
As provided in General Instruction B.2 to Form 8-K, the preceding information and information furnished in Exhibit 99.1 of this Current Report on Form 8-K shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, and such information shall not be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
Item 8.01  Other Events.
On July 24, 2018, Green and Veritex Holdings, Inc. (“Veritex”) issued a joint press release announcing that Green and Veritex have entered into an Agreement and Plan of Reorganization pursuant to which Green will merge with and into Veritex (the “Transaction”). The joint press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
