Item 1.01    Entry Into a Material Definitive Agreement.

On June 27, 2018 (the “Amendment Effective Date”), Par Hawaii Refining, LLC, a Hawaii limited liability company (“PHR”), and an indirect wholly-owned subsidiary of Par Pacific Holdings, Inc., a Delaware corporation (the “Company”), entered into an amendment (the “ Amendment”) to the Amended and Restated Supply and Offtake Agreement dated December 21, 2017 (as amended, modified, supplemented, renewed, and/or restated, the “Supply and Offtake Agreement”) with J. Aron & Company LLC (“J. Aron”). Prior to the Amendment, PHR had the right to defer payments owed to J. Aron under the Supply and Offtake Agreement up to the lesser of $125 million or 85% of eligible accounts receivable and inventory. Pursuant to the Amendment, among other things, the deferred payment arrangement was amended such that, effective as of the Amendment Effective Date, PHR has the right to defer payments owed to J. Aron under the Supply and Offtake Agreement up to the lesser of $165 million or 85% of eligible accounts receivable and inventory.
