Item 8.01. Other Events.

On July 17, 2018, Phillips Edison & Company, Inc. (“PECO”) entered into a definitive merger agreement (the “Merger Agreement”) with Phillips Edison Grocery Center REIT II, Inc. (“PE REIT II”) in a 100% stock-for-stock transaction valued at approximately $1.9 billion. In connection with entry into the Merger Agreement, certain investor communications were prepared and are filed herewith.

PECO prepared a script to accompany an investor presentation regarding the Merger Agreement, which is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The related presentation was given to PECO investors on July 19, 2018 at 10:00 a.m. Eastern Time and was filed as Exhibit 99.4 to PECO’s Current Report on Form 8-K filed on July 18, 2018.
