Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On June 27, 2018, LiveXLive Media, Inc. (the “Company”) granted 250,000 stock options to Blake Indursky, the Company’s Chief Business Officer and EVP, with an exercise price of $6.01 per share, which options vest annually in three equal increments over a period of three years from March 9, 2018. As reported by the Company in its Annual Report on Form 10-K for the fiscal year ended March 31, 2018, Mr. Indursky is no longer a “named executive officer” of the Company.

 

Such stock options were issued, and the shares of the Company’s common stock underlying the stock options, if any, will be issued, in a private placement in reliance upon an exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933, as amended (the “Securities Act”), and/or Regulation D promulgated thereunder.
