ITEM 5.07    SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS.

(a) On July 3, 2018, Braemar Hotels & Resorts Inc. (the “Company”) held its annual meeting of stockholders (the “Annual Meeting”). As of May 15, 2018, the record date for the Annual Meeting, there were 32,505,238 shares of common stock outstanding and entitled to vote. At the Annual Meeting, 27,107,738 shares of common stock, or approximately 83% of the eligible voting shares, were represented either in person or by proxy.

At the Annual Meeting, the Company’s stockholders voted on the following items:

1. Proposal 1 - To elect six nominees to the board of directors to hold office until the next annual meeting of stockholders and until their successors are elected and qualified.
